Acceptance
This purchase order becomes a binding contract between Buyer and Seller upon written acknowledgment and confirmation by Seller or upon the delivery of goods or fulfillment of services as specified herein. Acceptance is limited to the terms and conditions outlined on both sides. Buyer assumes no responsibility for goods or services until a valid invoice is received at the "Bill To" address. Payment terms initiate upon receipt of a proper invoice, referencing the purchase order number.
Entire Agreement
This purchase order, with terms on both sides and any attached documents, constitutes the exclusive and final agreement between Buyer and Seller, superseding any previous proposals or agreements. Seller's quotations or proposals mentioned in this purchase order do not affect the terms unless expressly stated. Conflicting terms in documents provided by Seller will not prevail over the terms outlined here. Modifications require a written change order signed by an authorized representative of Buyer.
Inspection
Goods are subject to inspection and approval within a reasonable timeframe following delivery, regardless of payment or prior examination. Non-compliance with specifications may lead to the return of goods at Seller's expense, with liability for associated damages.
Replacements
No substitutions are permitted unless explicitly authorized by Buyer.
Warranty
Seller warrants good and merchantable title to all goods, meeting required standards. Delivered goods are free from security interests, liens, and encumbrances. Seller guarantees conformity to specifications, drawings, or descriptions and adherence to quality standards. These warranties supplement any express or implied warranties and remain valid after inspection, delivery, and payment acceptance.
Warranty against Infringement
Seller guarantees that the sale or use of products specified will not infringe on any patents, trademarks, or copyrights.
Packing
Each package will include an itemized packing slip with the purchase order number and comply with carrier requirements. No additional charges are accepted unless explicitly mentioned in the purchase order.
Compliance with Law
Fulfillment of this purchase order by Seller must comply with applicable federal, state, and local laws. Seller warrants acquisition of necessary licenses, permits, and approvals. Seller must adhere to safety rules and regulations set by Buyer and confirm facility compliance.
Termination for Default
If Seller fails to adhere to material provisions, Buyer may terminate further performance upon notice. Buyer is not liable to Seller in such a situation.
No Assignment
Seller may not assign this purchase order without prior written consent from Buyer.
Governing Law
This purchase order is governed by the laws of the state where Buyer's premises are located. Parties consent to exclusive jurisdiction and venue of state and federal courts in that state.
Equal Employment Opportunity
The purchase order includes provisions of Executive Order 11246 (as amended), which Seller confirms compliance with unless exempt.
License
If software is necessary, Seller grants Buyer a perpetual, irrevocable license. Seller must provide updates at no additional cost and warrants rightful title and authority.
Confidentiality
The terms and existence of this purchase order, along with associated information, shall be held in strict confidence. Seller may not disclose this purchase order without prior written consent from Buyer.
General
The invalidity of any provision does not affect the validity of others. No waiver by Buyer of any breach shall be deemed a waiver of any subsequent breach. No term is considered waived unless in writing and signed by a duly authorized officer of Buyer.
